Effective as of September 5, 2024, Corro, LLC (“we” or “us” or “Corro” or the “Company”) is launching a giveaway program named the “KDA Giveaway Program” or the “Program”.

The KDA Giveaway Program operates under the terms and conditions as set out below unless otherwise expressly stated (as updated or revised from time to time, the “Program Rules”). The Program Rules govern our relationship with participants (“you” or “Participant”) who enter into the KDA Giveaway Program or any individual Giveaway (as defined below), including eligibility of participants who take part in the Program, entry requirements, and the selection and notification of winners. Corro is the administrator of the Program. All interpretations of these Program Rules are at the Company’s sole discretion, and the Company’s decisions will be final. Unless otherwise stated, the terms and conditions of the Program Rules in effect at the time of any dispute or question will govern the transaction.

Acceptance of Terms: By participating in any individual event under the KDA Giveaway Program (each a “Giveaway”), you agree to comply with and be bound by these Program Rules.

No Purchase Necessary: No purchase necessary to enter the KDA Giveaway Program or any individual Giveaway or to win any Reward. A purchase will not increase your chances of winning. Each Giveaway is free to enter via submission of Krystals and open to Eligible Participants.

Overview of Giveaways: The Company will hold a Giveaway on its Discord channel from time to time, in its sole discretion, by announcing in advance the time period for submission of an entry into such Giveaway. Participants may enter a Giveaway by entering “Krystals”, which represent points earned on Kadena’s official Discord Channel. Once the time period for submission of an entry has ended, the Company will select the Potential Winners (as defined below) of that particular Giveaway. Each Giveaway may have up to five Winners (as defined below). Each Winner will receive (each a “Reward”) $100 worth of the native digital assets/digital tokens popularly known as “Kadena” and that carry the trading symbol KDA (“KDA”), with the specific number of KDA determined by dividing $100 by the KDA Reward Price (as defined below). A Participant can only win one Reward per individual Giveaway.

OVERVIEW OF THE GIVEAWAY

• Five Separate Winners per Giveaway: Participants can only win one Reward for each individual Giveaway.
• Reward Calculation: The price of the KDA for calculating the number of KDA per Reward (the “KDA Reward Price”) is equal to the closing price on the date of the selection of the Pending Winners of such particular Giveaway as reported by CoinMarketCap (or its successor) which information can currently be found at https://coinmarketcap.com/currencies/kadena/historical-data/ or, if CoinMarketCap is no longer reporting such price as the Company reasonably believes is accurate as reported by any exchange or public information source selected by the Company. For Example: if the price of KDA as of 11:59pm New York time on the date that Pending Winners for a particular Giveaway are selected is $0.60, and the Reward is $100 worth of KDA, then each Pending Winner would be eligible to win a Reward of 166.67 KDA.
• Annual Win Limit: An individual can win a Reward a maximum of two times per calendar year (Jan 1 – December 31 of any given year).
• Claim Period: Pending Winners have 30 days from the date on which they are selected to complete KYC and submit any information requested by the Company, while remaining in compliance with the Program Rules during such time period, or else they may not be deemed Winners and will be ineligible for, and forfeit any claim or right to, the Reward.
• KYC Required: Verification by each Pending Winner is mandatory to claim the Reward.

Important: All Krystals entered by a Participant (whether an Eligible Participant or otherwise) in any Giveaway are burned and non-retrievable.

• Eligibility to Enter: The KDA Giveaway Program and each individual Giveaway is open to individuals worldwide (“Eligible Participants”), except (i) residents of the State of New York, the People’s Republic of China, the Republic of Korea (South Korea), the Socialist Republic of Vietnam; (ii) residents of any jurisdiction that is sanctioned by the United States as of the time of determination; (iii) residents of any other jurisdiction where the offer or delivery of the Reward or KDA would be illegal or violate applicable laws or would require any member of the Kadena Group (as defined below) or its affiliates to obtain a license, permit, approval, registration, or other qualification that such member does not then possess; and (iv) employees, officers, and directors of any member of the Kadena Group, as well as those of any member of the Kadena Group’s contractors, and the immediate family members of each of the foregoing.
• Entry Requirements: Eligible Participants must follow the specific instructions provided for entry with respect to each Giveaway. Entries that are incomplete, illegible, or do not adhere to the Program Rules, or any other rules or requirements as may be specified by the Company in connection with any specific Giveaway, may be disqualified at the sole discretion of the Company.
• Entering a Giveaway: Eligible Participants can only enter a Giveaway by submitting Krystals. Each Krystal entered into a Giveaway by an Eligible Participant equals one entry in the applicable Giveaway. Eligible Participants may submit as many Krystals as they have in their account.
• Selection of Winners: Potential Winners will be selected using Drip Rewards Inc.’s Raffle feature (https://docs.drip.re/drip-features/prizes#draw-prize) from all eligible entries received from Eligible Participants for that specific Giveaway. If your Krystal/entry is chosen, you will be deemed a “Pending Winner”. If you are a Pending Winner who is an Eligible Participant and who is otherwise in compliance with these Program Rules (including, without limitation, having completed the KYC Check), you will be deemed a “Winner”. Kadena LLC reserves the right to disqualify any Participant, Eligible Participant, Pending Winner or Winner or any entry thereof if any term or provision of these Program Rules are violated, including but not limited to if such Pending Winner is not an Eligible Participant.
• Eligibility of Winners: In order to be considered a Winner, a Pending Winner must: (i) not have won a Reward more than one time in the current calendar year; (ii) satisfy the “Know Your Customer” check established by the Company in its good faith judgment from time to time (the “KYC Check”), including by cooperating with the Company and providing true, complete and accurate documents, information, and other materials, and answering such questions, as may be requested by the Company or its representatives promptly; (iii) provide, in writing, a public key to us that corresponds with an account or wallet that supports KDA a wallet that supports KDA; and (iv) represent that (1) such individual is an Eligible Participant, (2) such individual is knowledgeable about digital tokens including KDA and has obtained sufficient information about the Kadena Group and KDA to reach an informed and knowledgeable decision to receive the Reward and the KDA, (3) such individual is acquiring the KDA for their own account only and not with a view to, or for resale in connection with, any “distribution” thereof within the meaning of the Securities Act of 1933, as amended or under any applicable provision of state law, and (4) such individual has no present intention to transfer the KDA to any other person or entity.
• Notification of Winners: Pending Winners will be notified via the contact information provided at the time of entry. If a Pending Winner cannot be contacted, is not an Eligible Participant, fails to pass the KYC Check or fails to provide their public wallet address, the Reward may be forfeited.
• Prize Delivery: The Reward will be delivered to the cryptocurrency public wallet address designated by the Winner to the Company in writing. None of Corro, nor its affiliates, subsidiaries or parent companies (collectively, the “Kadena Group”), nor any of their respective officers, directors, employees, representatives or agents, are responsible for any issues arising from incorrect wallet addresses provided by the Winners. You bear all market risk related to the volatility of KDA between the date the price of KDA is determined and the actual date of delivery of KDA.
• Taxes: Winners are solely responsible for all federal, state, and local taxes in any jurisdiction and any other costs and expenses associated with the acceptance and use of the Reward. No member of the Kadena Group nor any of their respective officers, directors, employees, representatives, and agents shall be liable for any taxes, penalties or other monetary amounts owed by you as a result of, or related to, your receipt of the Reward or your disposition of any KDA.
• Limitation of Liability: IN NO EVENT WILL ANY MEMBER OF THE KADENA GROUP NOR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES, AND AGENTS BE RESPONSIBLE OR LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, EXEMPLARY, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND, WHETHER BASED IN CONTRACT, TORT OR OTHERWISE, WHICH ARISE OUT OF OR ARE IN ANY WAY CONNECTED WITH THE KDA GIVEAWAY PROGRAM, THESE PROGRAM RULES, OR THE COMPANY’S OPERATION OF THE KDA GIVEAWAY PROGRAM. No member of the Kadena Group makes any warranties or representations, either expressed or implied, with respect to type, quality or fitness of goods or services provided through the KDA Giveaway Program.
• Cash Substitution Right: The Company may, in its discretion and at any time and from time to time prior to the delivery of the Reward to a Winner, cancel any or all of such Winner’s KDA Reward and substitute a cash payment.
• Not Advice: The information provided in connection with the giveaway does not constitute financial, investment, tax, securities or legal advice. Participants should consult their own financial, investment, or legal advisors before participating. You confirm that you are not relying, and will not rely, upon any advice or information provided to you by any member of the Kadena Group or any of its Representatives regarding any financial, securities or tax matters.
• Privacy: By participating in the KDA Giveaway Program or entering into any individual Giveaway, you consent to the collection, use, and disclosure of your personal information for the purpose of administering KDA Giveaway Program, any individual Giveaways and for any purposes outlined in Kadena LLC’s privacy policy https://www.kadena.io/privacy-policy.
• Modification or Termination: The Company reserves the right, in its sole discretion, to cancel, terminate, modify, or suspend the giveaway in whole or in part, at any time, without notice and for any reason or no reason. If the KDA Giveaway Program is terminated, all Rewards not claimed or Krystals entered into any current or previous Giveaways will be forfeited without any obligation or liability on the part of any member of the Kadena Group or any of its officers, directors, employees or other representatives or agents. Except as otherwise expressly prohibited or limited by applicable laws, Company may at any time amend, modify or supplement these Program Rules, with or without notice, even though such changes may affect the value of the Reward, or the ability or eligibility to enter or win Giveaways or Rewards (collectively “Program Rule Changes”).
• Governing Law and Dispute Resolution: Any disputes arising out of or related to the KDA Giveaway Program or these Program Rules will be handled individually without any class action, and shall be governed by and construed in accordance with the laws of the State of Connecticut without giving any effect to any choice or conflict of law provision, rule or principles. The courts of the State of Connecticut located in New Haven, CT and the United States District Court of Connecticut shall have the exclusive jurisdiction to hear and resolve any and all disputes, claims or litigation related to this Agreement or the transactions contemplated hereby and you and the Company each consent and submit to the personal jurisdiction in any such court and each waives to the fullest extent permitted by law any objection that they may now or hereafter have to the venue of any such litigation, proceeding or action in any such court or that any such litigation, proceeding or action was brought in an inconvenient forum. EACH OF THE COMPANY AND EACH PARTICIPANT HEREBY WAIVES ANY RIGHT SUCH PARTY MAY HAVE TO TRIAL BY JURY IN RESPECT OF ANY LITIGATION BASED ON, ARISING OUT OF, UNDER OR IN CONNECTION WITH THIS AGREEMENT OR ANY COURSE OF CONDUCT, COURSE OF DEALING, VERBAL OR WRITTEN STATEMENT OR ACTION OF ANY PARTY HERETO.
• Miscellaneous: These Program Rules, together with any other terms and conditions, rules, or regulations incorporated herein or referred to herein constitute the entire agreement between the Company and any and all Participants relating to the subject matter hereof, and supersede any prior understandings or agreements (whether oral or written) regarding the subject matter, and may not be amended or modified except in writing or by making such amendments or modifications available on this page. The Company’s waiver of any breach of these Program Rules by any Participant will not constitute a waiver of any other prior or subsequent breach of these Program Rules. The Company’s failure to insist upon strict compliance with these Program Rules by any Participant, Pending Winner or Winner will not be deemed a waiver of any rights or remedies the Company may have against that or any other Participant, Pending Winner or Winner. The Company may waive compliance with these Program Rules in its sole discretion. The Company also reserves the right, in its sole discretion, to prevent, cancel, or reconcile any transaction (including any transfer of any Reward or designation of a Winner or Pending Winner) where the Company suspects there has been fraudulent activity. The invalidity or unenforceability of any particular provision of these Program Rules shall not affect the other provisions hereof, and these Program Rules shall thereafter be construed in all respects as if such invalid or unenforceable provisions were omitted. Any reference to “$” or “dollars” shall be a reference to U.S. Dollars.
